Public Contributor Terms & Conditions

Helen Marshall Limited T/A The People’s Picture & The People’s Picture, Inc.

Summary

By uploading your photo, you are giving us permission to use it in this project but you keep ownership of it. You are not selling it or handing over your copyright, and you can still use your own photo however you like. The permission is free, worldwide and continues for the duration of the copyright. It lets us (and, where applicable, the commissioner and any approved partners) use your photo in the finished artwork, online, in exhibitions, in promotion and press, and in products such as prints, or merchandise connected to the project, subject to the restrictions and permissions set out in the full terms. We can’t promise that your photo or story will appear in the artwork. Please only upload photos you took yourself or have permission to share and make sure you have the necessary permissions from anyone who appears in them, especially children, to share and use their image for the purposes described in these terms. You must be 18 or over to upload. If you are uploading something that features or was created by a child, you must be their parent or legal guardian.

You can change your mind. Until the project’s collection phase closes (called “Database Lock”), you can withdraw your photo at any time using the Revoke Button in your confirmation email. After that point, you can no longer withdraw your photo through the standard submission process. However, you can still exercise your rights under applicable data protection laws, including requesting the removal of your personal data. We will consider any request to remove or restrict the use of your photo, including within the finished artwork, on a case-by-case basis, taking into account applicable laws and the nature of the artwork. Once a photo has been shared publicly, it may be copied or shared by others and we can’t control what other people do with it, though we will use reasonable efforts if you tell us about a problem. For anything about your photo or your data, email support@thepeoplespicture.com.

Contributor Terms and Conditions

Version 1a · Effective date: 29 October 2026

Please read these terms and conditions (this “Agreement”) which apply to the uploading and sharing of images, photographs, information and other content on https://www.thepeoplespicture.com (the “Website”) or https://myphotos.thepeoplespicture.com (the “CMS Website”). The Website and the CMS Website are referred to together as the “Websites”. In some cases you may be taken to the Websites via the website of a commissioner of a project or one of their partners’ websites.

If you do not accept the terms of this Agreement, you may not upload or share any photographs, text, videos, information or other content to the Website or any of our associated websites, social media platforms or other submission methods we make available.

By submitting your images, photographs, videos, text, information and other content to the Websites (or other submission methods we make available) you confirm your acceptance of the terms of this Agreement. We will process your personal data in accordance with applicable data protection laws and shall, where applicable, ensure that our affiliates and personnel comply, with all applicable laws and regulations as they relate to this Agreement. Depending on the circumstances, we may act as an independent or joint data controller, or as a data processor, as further explained in clause 5.

If you are in the UK, you have the right to make a complaint to the Information Commissioner’s Office (“ICO”) and further information can be found at the ICO’s website at www.ico.org.uk. Our ICO registration number is ZA575447. If you are in the US or another country, you may have additional rights under applicable local data protection laws.

1. The People's Picture

1.1 The Websites are owned and operated by Helen Marshall Limited trading as The People’s Picture, a company incorporated and registered in England and Wales under company number 11423615 whose registered office is at 7 Wadeson Street, London, E2 9DR and the People’s Picture Inc., a company incorporated in Delaware, with its mailing address at 15 Addison Rd, Bergenfield, New Jersey, 07621 (together “The People’s Picture”, “we”, “us”, “our”) and this Agreement applies to these companies. This Agreement applies to our relevant company operating the Project and, where applicable, both companies.

1.2 In this Agreement: “Contributor” means you, the person submitting Contributor Materials; “Commissioner” means the organisation or person that has commissioned the Project from us; “SoW” means the statement of work (or equivalent project document) agreed between us and the Commissioner for the Project, including any special conditions set out in it; “Approved Partner” means a partner, sponsor, charity, venue or other third party that The People’s Picture has approved in writing to display or use the Artwork; “Artwork” means the artwork created by us for the Project; “CMS” means the CMS Website; “Production Agreement” means the agreement between The People’s Picture and the Commissioner for the Project; “Database Lock” means the point at which the Commissioner formally signs off the approved Content (by clicking ‘Sign Off’ in the CMS or by the Sign Off Content Form), at which our collection phase closes and artwork production begins, after which the Commissioner can no longer change the status of, edit, add or remove Content (subject to applicable data protection requirements); “UK GDPR” means the General Data Protection Regulation 2016/679 as it forms part of the law of the United Kingdom, as amended from time to time; “Websites” also includes any website of the Commissioner or its partners through which the CMS Website is presented to you or through which Content is submitted to us; and “Data Protection Laws” means the UK GDPR, the Data Protection Act 2018, Regulation (EU) 2016/679 (the “EU GDPR”) and, for Contributors in the United States, all applicable US federal and state privacy and data protection laws (including the California Consumer Privacy Act and the Children’s Online Privacy Protection Act), together with all other data protection and privacy laws relevant to the jurisdiction in which your personal data is processed, each as amended or replaced from time to time. “data controller”, “data processor” and “personal data” have the meanings given in the Data Protection Laws (or the nearest equivalent term under US law).

2. The Project

2.1 Under this Agreement, we give you the opportunity to take part in a creative project which may involve, amongst other things, ideas, concepts, designs, images, photography, photo mosaicking, video, multimedia, literary works, derivative works and other artistic and communicative content (“Project”).

2.1a Territory Restriction: unless otherwise stated in the SoW, this Project is open to Contributors who are residents of the United Kingdom or the United States (including its territories). We may restrict or suspend submissions from certain countries where reasonably necessary for legal, regulatory, technical or compliance reasons. By submitting Contributor Materials, you confirm that you meet the eligibility requirements for the relevant Project. Where worldwide participation is permitted, clause 2.1d applies.

2.1b Eligibility to Submit: you must be at least 18 years of age to submit Contributor Materials and to accept this Agreement, and you will be asked to confirm this at the point of submission. A person under 18 may not themselves create an account, submit Contributor Materials or accept this Agreement. A person under 18 may, however, appear in or be named in Contributor Materials, and may create Contributor Materials (for example, a drawing or a written idea), provided the submission is made by their parent or legal guardian in accordance with Clauses 2.1c and 4.1.9 below.

2.1c Submissions involving a minor: if you submit Contributor Materials created by, or Information relating to, a person under 18, you represent and warrant that: (a) you are that person’s parent or legal guardian (in the United Kingdom, a person with parental responsibility for them); (b) no court has issued any order, judgment or decree granting custody of the minor to anyone else or otherwise affecting your rights as parent or legal guardian; (c) the minor has not been emancipated; (d) you have the legal right, power and authority to consent to and enter into this Agreement on behalf of both the minor and yourself; (e) you are at least 18 years of age; and (f) you have read and understand this entire Agreement. By submitting the Content you consent to and approve the terms of this Agreement on the minor’s behalf and agree that you and the minor are bound by it. You may withdraw the Content before Database Lock as set out in Clause 2.2a and nothing in this Agreement limits any rights under the Data Protection Laws. You agree to indemnify us and the Commissioner from and against reasonable losses, liabilities and costs arising from any third-party claims to the extent caused by your breach of this clause.

2.1d Worldwide Projects: where the SoW expressly provides for worldwide participation (so that Contributors may submit from any country, as described in Clause 2.1a), the following also applies: (a) Contributors may be resident in any country, except that we or the Commissioner may decline or block submissions from any country, at any time and without liability where reasonably necessary, including because of sanctions, export controls, local law or compliance risk; (b) you must be at least 18 years of age and at least the age of legal majority where you live, and Clauses 2.1b and 2.1c apply to anyone younger; (c) you are responsible for making sure that your submission, and your use of the Websites, complies with the laws that apply to you where you live, and we do not promise that the Websites or the Project are lawful or available in your country; (d) you acknowledge that your personal data may be transferred to and processed in the United Kingdom, the United States and other countries where we, the Commissioner and our suppliers are located (see our Privacy Policy), that those countries may not give the same level of data protection as your own, and that we will put in place the safeguards the Data Protection Laws require for those transfers; (e) the English version of this Agreement is the binding version, and any translation is for convenience only to the extent permitted by applicable law; (f) if you are resident outside the United Kingdom and the United States, Clause 12 applies as set out in that Clause, subject to Clause 12.3; and (g) a donation or payment option under Clause 2.6 may not be available in your country, and currency conversion, fees and taxes are matters between you and the payment provider.

2.2 The terms on which you agree to grant us a licence to use the ideas, concepts, designs, images, pictures, video, multimedia, literary and other artistic works, any derivative works and communicative content provided by you (together “Contributor Materials”) are set out in this Agreement. You may only withdraw Contributor Materials submitted in the timescale agreed between us. Thereafter any request to withdraw submitted Contributor Materials will be considered on a case-by-case basis and in accordance with applicable Data Protection Laws. We (or the Commissioner, through its moderation of the CMS) may reject, revoke or decline to use any Contributor Materials at any time at our or its sole discretion. In particular, we retain the right to revoke any Contributor Materials at any time if, at our sole discretion, we believe the Contributor Materials depicts something of a criminal nature or infringe the rights of any person, or if any person complains or claims that they took, own or have rights in the Contributor Materials. We may remove or suspend any such Contributor Materials immediately where reasonably necessary and without liability to you. We will make reasonable efforts to ensure that the Contributor Materials are included in the Project, but we will not be legally obliged to do so and any failure to do so will not constitute a breach of this Agreement by us.

2.2a Revoke Button and Database Lock: our submission process includes a “Revoke Button” allowing you to withdraw Content at any time before Database Lock, via the link in your confirmation email. For the purposes of clause 2.2, that is the timescale within which you may withdraw Contributor Materials unless we agree a different timescale with you in writing.

After Database Lock, you can no longer withdraw Content through the standard submission process. However, you may still exercise your rights under applicable Data Protection Laws, including requesting the removal or restriction of your personal data. We will consider and respond to such requests in accordance with applicable law and within the relevant statutory timeframe. In particular: (a) where required under applicable Data Protection Laws, we will remove your photograph, caption and other personal data from our own CMS and any online searchable gallery within our direct control; (b) we will notify the Commissioner and ask them to coordinate regarding any action required in respect of Content on the Commissioner’s own channels, however, we cannot guarantee they will act on it; (c) we cannot undo any sharing, reposting, press coverage, or other publication that has already happened in the public realm, which is genuinely outside our reasonable control; and (d) once Content has been incorporated into the finished Artwork, it may not be possible or practicable to remove it without effecting the Artwork. Once compiled, the Content becomes part of a single integrated artistic work alongside thousands of other Contributors’ photographs, hosted on our interactive zoomable viewer, and remains visible there at full resolution even after (a) above has taken effect. Requests to remove or obscure the Content from the finished Artwork will be assessed on a case-by-case basis, taking account applicable law and the nature of the work. We will also consider removing or obscuring an individual photograph from the finished Artwork in dire circumstances, at our sole discretion — for example, unlawful content, a court order, or a serious safeguarding concern — and where we do this work, the cost is payable by the Commissioner, not by us or by the Contributor.

2.2b Third-Party Tools and Platforms: We use third-party tools and service providers to create, manage and promote the Project and Artwork, including Canva for studio marketing and design work. The Canva account’s “content used to improve AI-powered features” privacy setting is switched off before this use is relied upon. Where Content is shared on a third-party social media platform (for example, Instagram, LinkedIn, or Facebook), the Contributor acknowledges that platform’s own terms and privacy practices apply once content is posted, including any use of publicly posted content by that platform to develop its own products or AI features, which is outside The People’s Picture’s control.

2.2c Complaints about Content: if you believe that any Content on our Websites infringes your rights (for example, because you took or own the photograph), please email support@thepeoplespicture.com with details of the Content, the rights you claim and your contact details. We will review it promptly and may remove or suspend the Content while we do so.

2.3 As part of the Project, you also expressly agree to provide relevant information relating to the Contributor Materials, including any written text, stories and ideas behind the Contributor Materials and/or those featured in the Contributor Materials, as well the names of the people and places appearing in the Contributor Materials (“Information”). We, or the Commissioner, may request additional Information relevant to the Project, as specified in the submission form. All Contributor Materials must be accompanied by the name and email address of the person who has submitted it and, where the submission relates to a minor, the minor’s name and age.

2.3a Public display of your details: if your Content is selected for a feature or display, the personal details that may be shown publicly with it are limited to the Contributor’s first name and general location (for example, state or region), together with any caption or story you have provided, unless the Project states otherwise. We will not publicly display any other personal details without your consent.

2.4 Together, the Contributor Materials and the Information are the “Content”.

2.5 You expressly confirm that you have all the relevant permissions in writing to use and submit the Content and to grant the rights set out in this Agreement and that you are responsible for any breach of this requirement, subject to the terms of this Agreement.

2.6 If there is a donation or voluntary payment option when submitting Contributor Materials, this payment is processed through the Commissioner’s own third-party payment provider account (for example, Stripe), and the funds flow directly to the Commissioner or the designated recipient. By clicking ‘Donate’ or ‘Pay’ you will be redirected to the payment provider’s website and you are making a payment directly to the Commissioner (or to the partner or client for the Project that the Commissioner designates). All payments are handled by them, and any enquiries about a payment you make must be directed to them. We do not at any point receive, hold, or control these funds. Our role is limited to providing the technical infrastructure that presents the payment option, records the transaction status in our CMS, and sends payment reminder emails on the Commissioner’s behalf where a Contributor has not completed a payment they indicated they intended to make. We do not accept or transmit funds on behalf of any Contributor or the Commissioner. We are not responsible or liable for missing payments, incorrect payments, failed transactions or other errors relating to payments, or for the third-party payment provider’s own errors, and the Commissioner is solely responsible for its own payment provider account, refund and cancellation policies, and any applicable tax or charitable-receipt treatment of payments received.

2.7 Public Display and Third-Party Misuse: you acknowledge that Content displayed publicly (including on our interactive zoomable artwork viewer micr.io, on the Commissioner’s channels and on social media) can be viewed, copied, screen-captured, shared and misused by third parties, including people who have no connection with us or the Commissioner, and that we cannot prevent this. We take reasonable steps to limit it, but we do not guarantee that Content will not be copied or misused and, to the extent permitted by law, we are not responsible for the acts or omissions of third parties. If you become aware of any misuse of your Content, please tell us promptly at support@thepeoplespicture.com and we will use reasonable endeavours to assist (for example, by passing on a takedown request), but we cannot guarantee any particular outcome. Nothing in this clause limits any right you have under the Data Protection Laws or any liability that cannot be excluded by law.

2.8 No obligation regarding ideas: you acknowledge that we and the Commissioner may already be considering or developing similar ideas, concepts or designs; that we have no obligation to use, credit or pay you for any Content; and that submitting Content does not create any confidential relationship between you and us or the Commissioner.

3. Grant of Licence

Subject always to clauses 2.2, 2.2a and 3.4-3.6, in consideration of the opportunity to take part in the Project and for other good and valuable consideration, you hereby grant to us a non-exclusive, royalty-free, worldwide, irrevocable, transferable, sublicensable licence to use the Content in connection with the Project:

3.1 for the full period of copyright (including all periods of renewal, extension and revival of the copyright);

3.2 to enable us to reproduce, publish, distribute, exhibit, edit, adapt, modify, crop, alter and otherwise use and exploit the Content (whether alone or incorporated into or in conjunction with other works) through any medium we wish to use;

3.3 for any purposes, commercial and/or non-commercial, relating to the Project, including, but not limited to:

3.3.1 for publication in all media (whether now known or hereafter devised including promotional material and national and international press);

3.3.2 for publication on the internet (including on social media);

3.3.3 for academic and scholarly purposes;

3.3.4 for cultural, educational, entertainment and social purposes, including exhibitions and oral and visual presentations to the public; and

3.3.5 for the production, marketing, distribution and sale of products (e.g. merchandise and printed goods);

together (“Licensed Rights”).

We may sublicence the Licensed Rights to the Commissioner, Approved Partners and our service providers to the extent necessary to create, display, promote and commercially exploit the Project and Artwork in accordance with the relevant agreements.

3.4 If the Contributor is a Commissioner of the Project, the terms of the Production Agreement entered into between the Contributor and The People’s Picture will take precedence over clauses 3.1-3.3 to the extent that the Production Agreement expressly provides otherwise in relation to the relevant Content.

3.5 Photographers engaged by us: if you are a photographer engaged by The People’s Picture to create Content, your rights in that Content are governed by your separate signed agreement with us. This Agreement does not itself assign your copyright.

3.6 If the Contributor is an established institutional partner working with The People’s Picture for the Project (for example, a library, archive, museum, or similar body sharing its own pre-existing collection), the rights described at Clauses 3.1-3.3 are restricted so that we may only use the Content:

3.6.1 for the purposes of the Project;

3.6.2 on our Website and in our artwork portfolio; and/or

3.6.3 as otherwise described in the terms of any separate ‘Licence Agreement’ entered into between the Contributor and the People’s Picture.

3.6a For the avoidance of doubt, Clause 3.6 does not apply to an individual photographer, volunteer, or other individual engaged by the Commissioner (rather than by us) to create Content specifically for the Project. Such an individual is a Contributor subject to the full Grant of Licence at Clauses 3.1-3.3 in the same way as a member of the public and may not restrict our rights in the Content by virtue of their engagement by the Commissioner.

4. Your Warranties and Undertakings

4.1 You hereby expressly warrant and undertake that:

4.1.1 you have obtained all necessary consents and permissions under all applicable laws (including under the Copyright, Designs and Patents Act 1988 and the US Copyright Act, each as amended and/or replaced from time to time) to grant the rights set out at Clause 3;

4.1.2 you are the sole owner of the Content or have a licence (including the right to sub-license and transfer) sufficient to grant the rights set out at Clause 3 and you have full authority to enter into this Agreement;

4.1.3 as far as you are aware, having made full and reasonable enquiry, the Content does not infringe the rights of any third party or incorporate any material that infringes the rights of any third party (including any right of intellectual property, confidentiality or privacy), and the use of the Content in accordance with this Agreement will not violate the rights of any third party;

4.1.4 you shall immediately inform us if you become aware of any claim that the Content infringes the rights of any third party or incorporates any material that infringes the rights of any third party (including any right of intellectual property, confidentiality or privacy), or that the use of the Content violates the rights of any third party;

4.1.5 as far as you are aware, having made full and reasonable enquiry, the Content does not incorporate any material that is obscene, blasphemous, racist or defamatory, could be considered intimate image abuse (sometimes called “revenge porn”) or a hate crime (including offences under the Crime and Disorder Act 1998), promotes hatred or violence or is otherwise unlawful and the use or exploitation of the Content will not place any person in contempt of court or in breach of any provision of any statute;

4.1.6 you shall immediately inform us if you become aware of any claim that the Content incorporates any material that is obscene, blasphemous, racist or defamatory or otherwise unlawful, or that the use or exploitation of the Content will place any person in contempt of court or in breach of any provision of any statute;

4.1.7 you are in compliance with, and shall continue to comply with, the terms and conditions of any agreements which govern the use of any Content provided to you by third parties;

4.1.8 you are in compliance with, and shall continue to comply with, all applicable laws and regulations as they relate to this Agreement;

4.1.9 where persons under the age of 18 years appear in the Contributor Materials and/or are named in the Information, you are the child’s parent or legal guardian and have the necessary authority and permissions to use the Content as contemplated in this Agreement. We reserve the right to request written proof of the same;

4.1.9a where Contributor Materials are created by or depict a child under the age of 13, you acknowledge that in the United States the Children’s Online Privacy Protection Act (“COPPA”) may impose specific requirements for obtaining verifiable parental consent before collecting personal information from that child online (and that in the United Kingdom the UK GDPR contains specific rules on children’s personal data), and that additional verification or permissions may be required where applicable;

4.1.10 you have provided, or shall promptly provide upon request, all clearances, consents, licences, permissions, releases, waivers and other documents necessary to grant the rights set out at clause 3 to us and to enable us to use the Content in connection with the Project (including any documents relating to the waiver of any moral rights, personality rights and/or publicity rights applicable to any person appearing in the Contributor Materials and/or named in the Information) (the “Clearances”); and

4.1.11 you have made, or shall promptly make, any/all payments due to any third parties in connection with the Clearances to enable us to use the Content as described above (including any licence fees and/or any payments applicable to the waiver of any moral rights, personality rights and/or publicity rights). You hereby expressly acknowledge and agree that we shall not be liable for any such payments. You expressly confirm that you undertake to make any payment due now or in the future under any licence or other agreement to which you are a party, in respect of the Content, and such liability to do so shall remain with you at all times.

4.2 You hereby waive (in favour of us and all our licensees, sublicensees, assignees and successors in title) all moral rights in the Content to which you may be entitled under any applicable law anywhere in the world (including under the Copyright, Designs and Patents Act 1988 and, for works of visual art in the United States, the Visual Artists Rights Act of 1990, each as amended and/or replaced from time to time) to the extent that such rights may be lawfully waived and to the extent necessary for us to exploit the rights set out at Clause 3 in accordance with the terms of this Agreement.

4.2a Photographs taken by others: if anyone other than you took any photograph or created any other material you submit, you confirm that you have that person’s written permission to submit it and to grant the rights set out in Clause 3 (including their agreement not to assert, or to waive, their moral rights where legally permitted to the extent necessary for us to use the Content as described in this Agreement). You will give us a copy of that permission promptly on request, and you must not submit material unless you have it.

4.3 You hereby expressly acknowledge and agree to indemnify us, on a full indemnity basis and at all times keep us indemnified against any and all actions, claims, costs, damages, losses and/or liabilities to the extent caused by any breach by you of the warranties and undertakings contained in this Agreement.

5. Data Protection

5.1 For the purpose of processing the Content in connection with the Project, and in order to comply with applicable laws, regulations and procedures, we (and where applicable our employees and duly authorised agents and advisers) will need to collect, store and otherwise process certain personal data relating to you and any individuals identified in the Content.

5.2 Where your Content is collected for a commissioned Project, The People’s Picture and the Commissioner may act as joint data controllers in respect of processing your personal data, where they jointly determine the purposes and means of that processing, or they may have separate responsibilities depending on the Project. Each party remains responsible for complying with its obligations under applicable Data Protection Laws. Where we act as joint controllers, you may exercise your rights against either of us. In the first instance please contact us at support@thepeoplespicture.com and we will coordinate a response with the Commissioner where appropriate. Separately, where The People’s Picture uses your Content for its own studio promotion, The People’s Picture acts as an independent data controller for that specific use. Where we process your personal data on behalf of a third party who determines the purpose or means for the processing of your personal data, we are a “data processor” within the meaning of the Data Protection Laws. In all cases, we will comply with all of our obligations under the Data Protection Laws.

5.3 Please read our Privacy Policy (found at thepeoplespicture.com/privacy-policy), together with the Commissioner’s own privacy notice (linked from the campaign page), which explains the processing of your personal data and your rights under the applicable Data Protection Laws.

5.4 Reference to the Privacy Policy incorporates its terms into this Agreement.

5.5 Retention: we will securely retain your project records and related personal data for as long as needed for the Project and for at least five years after the Project is completed, and for longer where we need it to evidence our rights in the Artwork, keep our records or deal with legal claims (we review what we keep and delete or anonymise personal details we no longer need), unless earlier deletion is agreed or required by law or by your exercise of your rights under the Data Protection Laws. Content that is published (including compressed photographs, with any first name, general location and caption shown with them) in the finished Artwork, online galleries, our portfolio, website and marketing may be kept for as long as the Artwork, gallery or portfolio is in use, and you can ask us to remove your photograph and caption from any online gallery or marketing as described in our Privacy Policy. Access to Content in the Commissioner’s CMS is limited to the CMS access period agreed with the Commissioner. The Commissioner’s own retention of your personal data is explained in its privacy notice.

6. Limited Liabilities of the Company

6.1 Subject to clause 6.3, to the extent permitted by law, The People’s Picture shall not be liable for any indirect or consequential losses of any kind (including, without limitation, damages for loss of business profits, business interruption, loss of business information, other incidental or consequential damages, or any other pecuniary loss) arising out of or in connection with this Agreement, including with regard to the Content provided by you, the use of the Content provided by you or due to any mistakes, omissions, delays, errors, interruptions in the transmission, or receipt of the services, content or materials, including, without limitation, any losses due to server problems or due to incorrect placement of HTML or other programming languages.

6.2 Subject to clause 6.3, our total aggregate liability to you arising out of or in connection with this Agreement for any and all claims, injuries, damages, or losses (whether in contract or tort and including negligence) will not exceed £100 (or US$100 if you are resident in the United States).

6.3 Nothing in this Agreement limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or anything else that cannot be excluded by law.

6.4 Where the Contributor is a UK consumer, nothing in this clause 6 excludes or restricts any rights or remedies available to UK Contributors as consumers to the extent that doing so would be prohibited by applicable laws or constitute unfair terms under the Consumer Rights Act 2015.

7. Termination and Duration of Agreement

7.1 This Agreement shall commence on the date we receive the Content and shall continue for the licence period in Clause 3.1, unless terminated earlier in accordance with its terms. Termination of this Agreement shall not affect the licence granted under clause 3, which shall continue for the period specified in clause 3.1, subject to applicable Data Protection Laws.

7.2 All of your warranties, indemnities and obligations, which by their nature are intended to survive to the termination of this Agreement, will continue beyond the termination of this Agreement, together with any rights or obligations of either party which have accrued before termination.

8. Assignment

8.1 We reserve the right to assign all or part of our duties, obligations and benefits hereunder to another person or entity, provided that doing so does not materially adversely affect your rights under this Agreement. We will notify you of any such assignment or transfer.

8.2 The Commissioner of the Project is granted the rights to the completed Artwork through a separate agreement between The People’s Picture and the Commissioner.

8.3 Any and all promises, obligations, duties and warranties made by you in this Agreement are personal to you and neither these promises, obligations, duties and warranties, nor any benefits hereunder may be assigned by you to any other person or entity without our prior written permission.

9. Miscellaneous

9.1 A failure or delay in enforcing any provision of this Agreement will not constitute a waiver of our rights to enforce that provision or any other rights under this Agreement.

9.2 We reserve the right to change the terms of this Agreement by notice in writing to you. Any material changes affecting Content already submitted will only apply with your agreement, unless required by applicable law. We will not retrospectively expand the rights granted over existing Content without your agreement. This is the entire agreement between us and you and no other written or oral agreement will supersede the provisions stated in this Agreement, unless agreed in writing by both parties.

10. Force Majeure

10.1 We shall not bear any liability for any failure or delay in the performance of our obligations under this Agreement if such delay or failure to perform is due to any Force Majeure Event. For the purpose of this Agreement a Force Majeure Event means any act, omissions, cause or circumstance beyond our reasonable control, including without any limitation, acts of God, war, national emergency, protests or rebellion, civil commotion, riots or strikes and any form of industrial dispute, ( whether or not involving either parties work force ), earthquake, flood, drought, epidemic, fire, explosion, act of terrorism, pandemic or epidemic, or any other act ordered by any government, council or constituted body.

11. Dispute Resolution

11.1 You and we both agree and acknowledge that each Party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a party’s copyrights, trade marks, trade secrets, patents or others intellectual property rights.

11.2 This “Dispute Resolution” clause will survive any termination of these terms.

12. Jurisdiction and Applicable Law

12.1 This Agreement and all matters arising from it, including any dispute, will be governed by and construed in accordance with the laws of England and Wales if you are resident in the United Kingdom, the laws of the State of New York if you are resident in the United States (including its territories), and the laws of England and Wales if you are resident anywhere else, in each case without regard to conflict of law provisions.

12.2 You and we irrevocably submit to the exclusive jurisdiction of the courts of England if you are resident in the United Kingdom or anywhere other than the United States, and of the state and federal courts located in the State of New York if you are resident in the United States, for the purposes of hearing and determining any dispute arising out of this Agreement.

12.3 If you are a consumer, nothing in this Agreement affects your mandatory statutory rights, or your right (where the law gives it to you) to bring proceedings in the courts of the part of the United Kingdom, the US state, or the other country where you live.
